Special Membership Meeting Results

On September 25, 2007 a Special Glacial Lakes Corn Processors membership meeting was held at the Watertown Event Center in Watertown, SD to vote on proposed amendments to the Articles of Incorporation and Bylaws of the Cooperative. Mail ballots were authorized for the special meeting vote.

The amendments were approved by the membership with a total of 1,226 members voting either in person or by mail. 1,158 members voted “for” the amendments and 42 members voted against the proposed amendments. There were 26 ballots that were spoiled. The Articles and Bylaws amendments result in the following changes:

• The nomination and election of directors will be on a district basis, and voting for any director shall be limited to members from within the district from which such director is to be elected.

• Voting for directors shall be limited to voting by mail ballot only.

• District meetings will be held prior to the annual meeting for the purpose of voting on nominees to each board seat from within the district that is up for election, and the two nominees for each board seat receiving the highest number of votes cast at the district meeting will be placed on the general ballot that will be mailed to all members from within the district in advance of the annual meeting.
